1. Introduction and Acceptance of Terms

Welcome to Dentistry Dashboard. These Terms and Conditions (“Terms”) govern your access to and use of the Dentistry Dashboard platform and services (“Services”), which are provided by Outlook Aesthetics Ltd., trading as MyFormatic (“we”, “us”, or “our”). Dentistry Dashboard is a cloud-based SaaS (Software-as-a-Service) platform that provides project management, collaboration tools, and other functionalities specifically designed for dental practices and professionals.

These Terms apply whether you register for an account or use any part of the Services. By accessing or using Dentistry Dashboard, you, on behalf of yourself and/or the dental practice or organization you represent ("Customer" or "Practice"), agree to be bound by these Terms. If you do not agree with these Terms, you may not use our Services.

Definitions:

  • "User" means any individual authorized by a Customer to access and use the Services under the Customer's account.

  • "Customer" or "Practice" means the dental practice or organization that registers for or uses the Services.

2. Nature of the Service

Service Description: Dentistry Dashboard is offered as a SaaS tool hosted on AWS cloud servers, providing project management, collaboration, AI-assisted note generation (e.g., AI Notes), staff scheduling, lab work tracking, CPD management, and other functionalities tailored for dental practices.

Medical Device Features: Certain features of the Services, such as AI-assisted note generation, may be classified as a medical device and are intended to be used by qualified dental professionals in accordance with their intended purpose and any accompanying instructions for use ("Instructions for Use"). Users are responsible for using such features in compliance with applicable regulations and professional standards.

Plans Offered: We offer both free and paid plans to cater to different user needs. Details of each plan are available on our website.

Access Requirements: While certain features may be accessible without an account, registering or signing in via Google or our standard sign-up process is required to utilize full functionalities and manage projects.

3. User Accounts and Registration

Account Creation

  • Registration Options: Users can create an account by providing their name and email address or by using third-party login methods (e.g., Google).

  • Paid Accounts: For paid plans, the Customer must provide additional billing information, including billing address and payment details.

Account Security

  • Responsibility: Users and Customers are solely responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their accounts.

  • Notification: Users or the Customer must promptly notify us at support@dentistrydashboard.com of any unauthorized use of an account or any other breach of security.

Accuracy of Information

  • User/Customer Obligation: Users and Customers agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.

  • Verification: We reserve the right to verify user and Customer information and suspend accounts if discrepancies are found or if information is deemed inaccurate or incomplete.

4. User Content and Intellectual Property

User-Uploaded Content (“User Content”)

  • Ownership: The Customer and its Users retain all rights and ownership to their User Content. Dentistry Dashboard does not claim any ownership over User Content. "User Content" includes any data, information, text, graphics, patient information (for which the Customer is the Data Controller), or other materials uploaded, submitted, stored, or shared by Users or the Customer in connection with the Services.

  • Storage: User Content is stored securely on AWS servers, primarily located in the United Kingdom.

  • Sharing: Users and Customers have discretion to share their User Content with others through the functionalities of the Services. Dentistry Dashboard does not control or influence how User Content is shared by Users or Customers.

  • Responsibility for Patient Data: When User Content includes patient personal data or other sensitive information, the Customer is solely responsible for ensuring that any collection, input, use, sharing, or disclosure of such content complies with all applicable data protection laws (including UK GDPR), professional obligations of confidentiality, and has a valid lawful basis (including patient consents where required).

Intellectual Property Rights

  • User/Customer Representation: The Customer and its Users represent and warrant that they have all necessary rights, licenses, and consents to upload, store, process, and share any User Content submitted to or through the Services, and that such User Content does not infringe upon or violate the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.

  • No Liability for User Content: Dentistry Dashboard is not liable for any User Content. The Customer agrees to indemnify and hold Dentistry Dashboard harmless from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from their User Content, as further detailed in Section 13 (Indemnification).

5. Prohibited Uses

Users and Customers agree not to use Dentistry Dashboard to:

  • Illegal Activities: Upload, post, or transmit any content that is unlawful, harmful, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

  • Violation of Laws: Violate any applicable local, national, or international laws or regulations, including but not limited to data protection laws and regulations applicable to healthcare professionals.

  • Intellectual Property Infringement: Infringe upon or violate our intellectual property rights or the intellectual property rights of others.

  • Disruptive Conduct: Engage in any conduct that disrupts or impedes the Services’ normal operations (e.g., distributing viruses, spamming, hacking, or attempting to gain unauthorized access to the Services or its related systems or networks).

  • Unauthorized Data Collection: Collect personal data about other users without their explicit consent, or attempt to harvest or otherwise collect information about others, including e-mail addresses, without their consent.

  • Misuse of Medical Device Features: Misuse any Service features, particularly those classified as medical devices, in a manner inconsistent with their intended use, provided Instructions for Use, or applicable regulatory guidelines.

  • Impersonation: Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

Dentistry Dashboard reserves the right to investigate and take appropriate actions, including but not limited to suspending or terminating accounts and/or reporting to law enforcement authorities, against anyone who, in our sole discretion, engages in prohibited activities.

6. Payment Terms (For Paid Plans)

Subscription Fees

  • Payment Obligation: Customers subscribing to paid plans agree to pay all applicable subscription fees as set out on our website or in a separate agreement.

  • Billing Cycle: Fees may be billed on a monthly or annual basis, as selected by the Customer.

  • Payment Methods: Payments are processed through our third-party payment processor, Stripe. By providing payment information, you authorize us and Stripe to process your payment.

Billing and Renewal

  • Automatic Renewal: Subscriptions will automatically renew at the end of each billing cycle for a subsequent equivalent period, unless canceled by the Customer prior to the renewal date in accordance with the cancellation procedure.

  • Authorization: The Customer authorizes Dentistry Dashboard (via Stripe) to charge the provided payment method for all applicable subscription fees and any applicable taxes for the renewal term.

Refunds and Cancellations

  • Refund Policy: All fees are non-refundable except as expressly stated otherwise in these Terms or as required by applicable law. Refunds, if any, are provided at Dentistry Dashboard’s sole discretion.

  • Cancellation Process: Customers may cancel their subscription at any time through their account settings or by contacting support@dentistrydashboard.com. Cancellations will take effect at the end of the current billing cycle.

  • No Refund for Early Termination: No refunds or credits will be provided for partial months or years of service, plan downgrades, or refunds for unused time if a subscription is canceled before the end of its term.

7. Privacy and Data Protection

Privacy Policy: Our collection, use, storage, and disclosure of personal data in connection with the Services are governed by our Privacy Policy, which is available on our website and incorporated by reference into these Terms. Our Privacy Policy details our compliance with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR).

Data Handling: Personal data, including User Content, is stored primarily on AWS servers located in the United Kingdom. Data may be transferred to other jurisdictions as necessary for the provision of the Services by our sub-processors, in accordance with the safeguards outlined in our Privacy Policy.

Data Processing Addendum (DPA): For Customers who are Data Controllers under UK GDPR (e.g., dental practices processing patient data), these Terms incorporate by reference our Data Processing Addendum (DPA). The DPA details our obligations as a Data Processor when processing personal data on behalf of the Customer.

User Consent: By using our Services, Users and Customers consent to the collection, use, and sharing of their information as outlined in our Privacy Policy and, where applicable, the DPA.

8. Disclaimer of Warranties

“As Is” and “As Available”

  • Service Provision: Dentistry Dashboard and all related Services are provided on an “as is” and “as available” basis.

  • No Guarantee: We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components. We make no warranty that the results that may be obtained from the use of the Services will be accurate or reliable.

No Liability for Downtime

  • Efforts to Maintain Service: While we strive to maintain the availability and reliability of the Services, and to minimize downtime and restore Services promptly in the event of an interruption, Dentistry Dashboard cannot guarantee continuous or uninterrupted availability.

  • Service Level Agreements (SLAs): Any specific service level commitments for paid plans, if offered, will be detailed in the applicable plan description or a separate Service Level Agreement. Absent such an agreement, no specific uptime is guaranteed.

  • Limitation: We are not responsible for any loss or damage resulting from Service downtime, interruptions, or data unavailability.

No Warranty

  • Scope of Disclaimers: To the maximum extent permitted by applicable law, Dentistry Dashboard expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

  • Specific to Medical Device Features: For features classified as medical devices, we warrant that such features will perform substantially in accordance with their accompanying Instructions for Use when used as directed. This specific warranty does not override the general disclaimers above for other aspects of the Services. The Customer’s sole remedy for a breach of this specific warranty will be, at our option, to correct the non-conformance or refund a pro-rata portion of the fees paid for the non-conforming feature.

9. Limitation of Liability

Exclusion of Damages: To the maximum extent permitted by applicable law, in no event shall Dentistry Dashboard (Outlook Aesthetics Ltd.), its directors, employees, affiliates, agents, contractors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to your access to or use of, or inability to access or use, the Services or any content or information accessed through the Services, however caused, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been informed of the possibility of such damage.

Cap on Liability: To the maximum extent permitted by applicable law, our total aggregate liability for any and all claims, losses, or damages arising out of or in any way related to these Terms or your use of the Services, whether in contract, tort (including negligence), or otherwise, shall not exceed the greater of: (a) the total amount paid by you (the Customer) to Dentistry Dashboard for the Services in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred British Pounds Sterling (£100.00) if no fees were paid by you for the Services.

Essential Risk Allocation: Users and Customers acknowledge and agree that they use Dentistry Dashboard at their own risk. The disclaimers of warranties and limitations of liability set forth in these Terms are fundamental elements of the basis of the bargain between Dentistry Dashboard and Users/Customers, and Dentistry Dashboard would not be able to provide the Services on an economically reasonable basis without these limitations.

10. Termination of Accounts

Termination by You (User/Customer)

  • Account Deletion: Users or Customers may terminate their account and cease using Dentistry Dashboard at any time by following the account deletion procedures within the Service or by contacting support@dentistrydashboard.com.

  • Data Deletion: Upon termination initiated by you, we will handle User Content, including any personal data, in accordance with our Privacy Policy and DPA. Generally, Customer data will be deleted from our active servers within a commercially reasonable timeframe, unless retention is required by law or for legitimate business purposes (e.g., audit trails for regulatory compliance, financial records for a specified period). We recommend Customers export their data prior to termination.

Termination by Us

  • Right to Terminate: Dentistry Dashboard reserves the right to suspend or terminate User or Customer accounts, or restrict access to parts or all of the Services, at our sole discretion, without prior notice or liability, for any reason, including but not limited to: (a) if Users or Customers violate these Terms; (b) if Users or Customers engage in any conduct deemed harmful to Dentistry Dashboard, other users, or third parties, or is otherwise unlawful; (c) for extended periods of inactivity for free accounts; or (d) for non-payment of fees for paid accounts.

  • Service Discontinuation: We may also terminate or suspend the Services entirely, or any part thereof, with or without prior notice, if we decide to discontinue the Services or a feature for business reasons. We will endeavor to provide reasonable notice of such discontinuation where feasible.

11. Governing Law and Dispute Resolution

Governing Law: These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Jurisdiction: Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or their subject matter or formation, unless an alternative dispute resolution method such as mediation or arbitration is mutually agreed upon in writing by both parties.

Dispute Resolution Process: Users and Customers agree to first attempt to resolve any disputes informally by contacting us at support@dentistrydashboard.com. We will endeavor to resolve the dispute amicably. If a dispute cannot be resolved informally within thirty (30) days of initial contact, either party may pursue formal legal action as permitted by these Terms.

12. Changes to These Terms

Right to Modify: Dentistry Dashboard reserves the right, at our sole discretion, to modify or replace these Terms at any time.

Notification of Changes: If material changes are made to these Terms, we will provide reasonable notice, such as by posting the updated Terms on our website, sending an email notification to the Customer's registered email address, or through an in-app notification. The "Last Updated" date at the top of these Terms will indicate when the latest modifications were made.

Acceptance of Changes: Your continued access to or use of the Services after any such update constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Services. We encourage you to review these Terms periodically for any changes.

13. Indemnification

User/Customer Responsibility: The Customer agrees to indemnify, defend, and hold harmless Dentistry Dashboard (Outlook Aesthetics Ltd.), its directors, officers, employees, affiliates, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or in any way connected with: (a) the Customer's or its Users' access to or use of the Services; (b) User Content submitted, posted, transmitted, or otherwise made available by the Customer or its Users through the Services, including any claim that User Content infringes or violates any third-party intellectual property, privacy, or other rights; (c) any violation of these Terms by the Customer or its Users; or (d) any negligent or wrongful act or omission by the Customer or its Users.

Scope of Indemnity: This indemnification obligation will survive the termination of these Terms and your use of the Services. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

14. Severability

Clause Independence: If any provision of these Terms (or part of a provision) is found by any court or administrative body of competent jurisdiction to be invalid, illegal, or unenforceable, that provision or part-provision shall, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these Terms shall not be affected.

Modification of Clauses: If any invalid, unenforceable, or illegal provision of these Terms would be valid, enforceable, and legal if some part of it were deleted or modified, the provision shall apply with the minimum modification necessary to make it legal, valid, and enforceable.

15. Entire Agreement

Comprehensive Terms: These Terms, together with our Privacy Policy and any applicable Data Processing Addendum (DPA) and any other specific agreements or plan descriptions explicitly incorporated by reference, constitute the entire agreement between you (the Customer) and Dentistry Dashboard (Outlook Aesthetics Ltd.) regarding your use of the Services. They supersede all prior or contemporaneous understandings, agreements, representations, and communications, whether written or oral, relating to such subject matter.

No Third-Party Beneficiaries: Except as expressly provided in these Terms, no provision of these Terms is intended to confer any rights, remedies, or benefits upon any person or entity other than the parties hereto and their respective successors and permitted assigns.

  • Verification: We reserve the right to verify user and Customer information and suspend accounts if discrepancies are found or if information is deemed inaccurate or incomplete.

4. User Content and Intellectual Property

User-Uploaded Content (“User Content”)

  • Ownership: The Customer and its Users retain all rights and ownership to their User Content. Dentistry Dashboard does not claim any ownership over User Content. "User Content" includes any data, information, text, graphics, patient information (for which the Customer is the Data Controller), or other materials uploaded, submitted, stored, or shared by Users or the Customer in connection with the Services.

  • Storage: User Content is stored securely on AWS servers, primarily located in the United Kingdom.

  • Sharing: Users and Customers have discretion to share their User Content with others through the functionalities of the Services. Dentistry Dashboard does not control or influence how User Content is shared by Users or Customers.

  • Responsibility for Patient Data: When User Content includes patient personal data or other sensitive information, the Customer is solely responsible for ensuring that any collection, input, use, sharing, or disclosure of such content complies with all applicable data protection laws (including UK GDPR), professional obligations of confidentiality, and has a valid lawful basis (including patient consents where required).

Intellectual Property Rights

  • User/Customer Representation: The Customer and its Users represent and warrant that they have all necessary rights, licenses, and consents to upload, store, process, and share any User Content submitted to or through the Services, and that such User Content does not infringe upon or violate the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.

The Customer agrees to indemnify and hold Dentistry Dashboard harmless from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from their User Content, as further detailed in Section 13 (Indemnification).

5. Prohibited Uses

Users and Customers agree not to use Dentistry Dashboard to:

  • Illegal Activities: Upload, post, or transmit any content that is unlawful, harmful, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

  • Violation of Laws: Violate any applicable local, national, or international laws or regulations, including but not limited to data protection laws and regulations applicable to healthcare professionals.

  • Intellectual Property Infringement: Infringe upon or violate our intellectual property rights or the intellectual property rights of others.

  • Disruptive Conduct: Engage in any conduct that disrupts or impedes the Services’ normal operations (e.g., distributing viruses, spamming, hacking, or attempting to gain unauthorized access to the Services or its related systems or networks).

  • Unauthorized Data Collection: Collect personal data about other users without their explicit consent, or attempt to harvest or otherwise collect information about others, including e-mail addresses, without their consent.

  • Misuse of Medical Device Features: Misuse any Service features, particularly those classified as medical devices, in a manner inconsistent with their intended use, provided Instructions for Use, or applicable regulatory guidelines.

  • Impersonation: Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

Dentistry Dashboard reserves the right to investigate and take appropriate actions, including but not limited to suspending or terminating accounts and/or reporting to law enforcement authorities, against anyone who, in our sole discretion, engages in prohibited activities.

6. Payment Terms (For Paid Plans)

Subscription Fees

  • Payment Obligation: Customers subscribing to paid plans agree to pay all applicable subscription fees as set out on our website or in a separate agreement.

  • Billing Cycle: Fees may be billed on a monthly or annual basis, as selected by the Customer.

  • Payment Methods: Payments are processed through our third-party payment processor, Stripe. By providing payment information, you authorize us and Stripe to process your payment.

Billing and Renewal

  • Automatic Renewal: Subscriptions will automatically renew at the end of each billing cycle for a subsequent equivalent period, unless canceled by the Customer prior to the renewal date in accordance with the cancellation procedure.

  • Authorization: The Customer authorizes Dentistry Dashboard (via Stripe) to charge the provided payment method for all applicable subscription fees and any applicable taxes for the renewal term.

Refunds and Cancellations

  • Refund Policy: All fees are non-refundable except as expressly stated otherwise in these Terms or as required by applicable law. Refunds, if any, are provided at Dentistry Dashboard’s sole discretion.

  • Cancellation Process: Customers may cancel their subscription at any time through their account settings or by contacting support@dentistrydashboard.com. Cancellations will take effect at the end of the current billing cycle.

  • No Refund for Early Termination: No refunds or credits will be provided for partial months or years of service, plan downgrades, or refunds for unused time if a subscription is canceled before the end of its term.

Data Processing Addendum (DPA): For Customers who are Data Controllers under UK GDPR (e.g., dental practices processing patient data), these Terms incorporate by reference our Data Processing Addendum (DPA). The DPA details our obligations as a Data Processor when processing personal data on behalf of the Customer.

User Consent: By using our Services, Users and Customers consent to the collection, use, and sharing of their information as outlined in our Privacy Policy and, where applicable, the DPA.

8. Disclaimer of Warranties

“As Is” and “As Available”

  • Service Provision: Dentistry Dashboard and all related Services are provided on an “as is” and “as available” basis.

  • No Guarantee: We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components. We make no warranty that the results that may be obtained from the use of the Services will be accurate or reliable.

No Liability for Downtime

  • Efforts to Maintain Service: While we strive to maintain the availability and reliability of the Services, and to minimize downtime and restore Services promptly in the event of an interruption, Dentistry Dashboard cannot guarantee continuous or uninterrupted availability.

  • Service Level Agreements (SLAs): Any specific service level commitments for paid plans, if offered, will be detailed in the applicable plan description or a separate Service Level Agreement. Absent such an agreement, no specific uptime is guaranteed.

  • Limitation: We are not responsible for any loss or damage resulting from Service downtime, interruptions, or data unavailability.

No Warranty

  • Scope of Disclaimers: To the maximum extent permitted by applicable law, Dentistry Dashboard expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

  • Specific to Medical Device Features: For features classified as medical devices, we warrant that such features will perform substantially in accordance with their accompanying Instructions for Use when used as directed. This specific warranty does not override the general disclaimers above for other aspects of the Services. The Customer’s sole remedy for a breach of this specific warranty will be, at our option, to correct the non-conformance or refund a pro-rata portion of the fees paid for the non-conforming feature.

9. Limitation of Liability

Exclusion of Damages: To the maximum extent permitted by applicable law, in no event shall Dentistry Dashboard (Outlook Aesthetics Ltd.), its directors, employees, affiliates, agents, contractors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to your access to or use of, or inability to access or use, the Services or any content or information accessed through the Services, however caused, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been informed of the possibility of such damage.

Cap on Liability: To the maximum extent permitted by applicable law, our total aggregate liability for any and all claims, losses, or damages arising out of or in any way related to these Terms or your use of the Services, whether in contract, tort (including negligence), or otherwise, shall not exceed the greater of: (a) the total amount paid by you (the Customer) to Dentistry Dashboard for the Services in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred British Pounds Sterling (£100.00) if no fees were paid by you for the Services.

Essential Risk Allocation: Users and Customers acknowledge and agree that they use Dentistry Dashboard at their own risk. The disclaimers of warranties and limitations of liability set forth in these Terms are fundamental elements of the basis of the bargain between Dentistry Dashboard and Users/Customers, and Dentistry Dashboard would not be able to provide the Services on an economically reasonable basis without these limitations.

10. Termination of Accounts

Termination by You (User/Customer)

  • Account Deletion: Users or Customers may terminate their account and cease using Dentistry Dashboard at any time by following the account deletion procedures within the Service or by contacting support@dentistrydashboard.com.

  • Data Deletion: Upon termination initiated by you, we will handle User Content, including any personal data, in accordance with our Privacy Policy and DPA. Generally, Customer data will be deleted from our active servers within a commercially reasonable timeframe, unless retention is required by law or for legitimate business purposes (e.g., audit trails for regulatory compliance, financial records for a specified period). We recommend Customers export their data prior to termination.

Termination by Us

  • Right to Terminate: Dentistry Dashboard reserves the right to suspend or terminate User or Customer accounts, or restrict access to parts or all of the Services, at our sole discretion, without prior notice or liability, for any reason, including but not limited to: (a) if Users or Customers violate these Terms; (b) if Users or Customers engage in any conduct deemed harmful to Dentistry Dashboard, other users, or third parties, or is otherwise unlawful; (c) for extended periods of inactivity for free accounts; or (d) for non-payment of fees for paid accounts.

  • Service Discontinuation: We may also terminate or suspend the Services entirely, or any part thereof, with or without prior notice, if we decide to discontinue the Services or a feature for business reasons. We will endeavor to provide reasonable notice of such discontinuation where feasible.

11. Governing Law and Dispute Resolution

Governing Law: These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Jurisdiction: Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or their subject matter or formation, unless an alternative dispute resolution method such as mediation or arbitration is mutually agreed upon in writing by both parties.

Dispute Resolution Process: Users and Customers agree to first attempt to resolve any disputes informally by contacting us at support@dentistrydashboard.com. We will endeavor to resolve the dispute amicably. If a dispute cannot be resolved informally within thirty (30) days of initial contact, either party may pursue formal legal action as permitted by these Terms.

12. Changes to These Terms

Right to Modify: Dentistry Dashboard reserves the right, at our sole discretion, to modify or replace these Terms at any time.

Notification of Changes: If material changes are made to these Terms, we will provide reasonable notice, such as by posting the updated Terms on our website, sending an email notification to the Customer's registered email address, or through an in-app notification. The "Last Updated" date at the top of these Terms will indicate when the latest modifications were made.

Acceptance of Changes: Your continued access to or use of the Services after any such update constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Services. We encourage you to review these Terms periodically for any changes.

13. Indemnification

User/Customer Responsibility: The Customer agrees to indemnify, defend, and hold harmless Dentistry Dashboard (Outlook Aesthetics Ltd.), its directors, officers, employees, affiliates, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or in any way connected with: (a) the Customer's or its Users' access to or use of the Services; (b) User Content submitted, posted, transmitted, or otherwise made available by the Customer or its Users through the Services, including any claim that User Content infringes or violates any third-party intellectual property, privacy, or other rights; (c) any violation of these Terms by the Customer or its Users; or (d) any negligent or wrongful act or omission by the Customer or its Users.

Scope of Indemnity: This indemnification obligation will survive the termination of these Terms and your use of the Services. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

14. Severability

Clause Independence: If any provision of these Terms (or part of a provision) is found by any court or administrative body of competent jurisdiction to be invalid, illegal, or unenforceable, that provision or part-provision shall, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these Terms shall not be affected.

Modification of Clauses: If any invalid, unenforceable, or illegal provision of these Terms would be valid, enforceable, and legal if some part of it were deleted or modified, the provision shall apply with the minimum modification necessary to make it legal, valid, and enforceable.

15. Entire Agreement

Comprehensive Terms: These Terms, together with our Privacy Policy and any applicable Data Processing Addendum (DPA) and any other specific agreements or plan descriptions explicitly incorporated by reference, constitute the entire agreement between you (the Customer) and Dentistry Dashboard (Outlook Aesthetics Ltd.) regarding your use of the Services. They supersede all prior or contemporaneous understandings, agreements, representations, and communications, whether written or oral, relating to such subject matter.

No Third-Party Beneficiaries: Except as expressly provided in these Terms, no provision of these Terms is intended to confer any rights, remedies, or benefits upon any person or entity other than the parties hereto and their respective successors and permitted assigns.
